Terms of Use and Platform Policies for Groupix

These Terms of Use and Platform Policies (hereinafter referred to as this “Agreement”) govern your access to and use of the “Groupix” platform (hereinafter referred to as the “Platform” or “Groupix”), operated by Groupix (hereinafter referred to as “the Company”). This Platform facilitates connections between advertisers and media companies (collectively referred to as “Advertisers”) and community administrators (hereinafter referred to as “Administrators”) seeking to monetize their community management efforts.
Please read this Privacy Policy, Risk Disclosure, and all other terms and conditions herein carefully before using this Website.
By accessing or using this Website, or by providing your personal information following any modifications, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this Agreement.1
You understand and agree that the Company reserves the right to discontinue or modify its services at any time, upon providing a fourteen (14) day prior written notice. Furthermore, you acknowledge and agree that the Company may, at its sole discretion, terminate or restrict your access to this Website for any reason without prior notice.
Transactions
If you engage in a transaction through the Platform, you acknowledge that Groupix is not responsible for the quality of the content or user satisfaction resulting from the advertising. Groupix will ensure and be responsible for the payment and fulfillment of the transaction between the parties. By purchasing or utilizing any system or method offered by the Company, you agree that any use of such system or method is solely by Groupix and shall not be misused by you.
Eligibility
The Company’s services are intended for adults (individuals over the age of eighteen (18)) only. If a user is a minor, they are permitted to use the Website or purchase a product or service only with the express consent of a parent and/or legal guardian. Groupix reserves the right to refuse service, terminate accounts, and cancel orders at its sole discretion in any case where the customer is under the age of eighteen (18).
Our Services
Groupix is a software company that has developed and maintains a platform that mediates between Facebook community administrators and media companies and advertisers to provide mutually beneficial connections. Additionally, Groupix will develop and engage in the creation of tools and learning resources for community development, as well as technological aids for community administrators in the realm of monetization.
The Company will provide a community verification system for joining communities based on a proprietary formula developed by the Company, without charge to Website users.
Currently, the Company is in a pilot phase, and therefore, the initial version will present a payment model for community advertising based on the analysis of communities by Groupix, which will determine a minimum fee.
It is the user’s responsibility to conduct reasonable due diligence regarding a community and only then to decide if it meets their needs and requirements. The Company declares that it makes every effort to conduct comprehensive checks on community data, reputation level, and the effectiveness of advertising within them.
Service Provision Policy – Groupix will provide a community profile to registered administrators within five (5) days of the request and fulfillment of the Company’s terms. Furthermore, the Advertiser, as defined in the Service Terms section of this Agreement, will provide the details they wish to advertise, and the Administrator/Community Manager will have up to one (1) year to publish the post. In the case of multiple posts within a transaction where the Advertiser has purchased a package of posts, they may define the publication period in advance or publication up to one (1) year from the date of purchase.
Service Terms
Definitions
The following terms shall have the meanings ascribed to them herein, unless otherwise specified:
- Administrator: A Facebook community manager who has created a user account on Groupix and has requested to create a community page in the index to sell digital advertising space to Advertisers.
- Advertisers: Entrepreneurs, businesses, or public institutions that wish to generate additional advertising reach by targeting Facebook communities.
- Groupix: The platform that connects media companies and advertisers with Facebook community administrators.
- Index: The main page of the Groupix website where Advertisers can select from a list of communities that have passed Groupix’s quality checks.
General Provisions
It is hereby clarified that Groupix will collect its fee as a percentage of the total service fee agreed upon between the Advertiser and the Administrator. From this fee, Groupix will deduct applicable taxes and transfer the remaining profits in accordance with the Administrator’s provided bank account details.
Administrators hereby agree to provide accurate information and their account details solely for the purpose of receiving payments from Groupix.
Furthermore, it is clarified that Groupix makes significant efforts to secure reliable media companies as well as established communities with substantial reach. Therefore, users of the Platform, whether Advertisers, Media Companies, or Community Administrators, are obligated to conduct their business dealings within the Groupix platform.
If such a connection is established and communicated by either party outside of the Groupix platform, there may be legal consequences, including the possibility of Groupix claiming a portion of the transaction amount, if applicable.
Product Liability
Groupix does not sell products but rather facilitates connections between advertisers and digital community owners. Therefore, it is not responsible for the quality of the advertising, content, or any disputes that may arise between these parties unless they are directly related to the process of purchasing a post or the technical operation of the platform.
Administrators
The completion of a transaction on Groupix signifies the Administrator’s responsibility to publish the required posts as requested by the media companies. It is agreed and clarified that if the desired service is not provided by the Administrator, Groupix reserves the right to close the user account and impose financial sanctions or cancel the transaction.
The Administrator will provide reliable group details for analytical purposes by Groupix only. The Administrator undertakes to perform the services efficiently and professionally and is obligated to prioritize tasks as determined by the Advertiser.
Intellectual Property
All intellectual property rights, whether registered or unregistered, including but not limited to rights in algorithms, binary code, trademarks, trade methods, computer programs, computer software, concepts, firmware, the composition of material or materials, certifying marks, collective marks, copyrights, customer lists, designs, derivative works, discoveries, distributor lists, documents, domain names, file structures, formulas, goodwill, ideas, improvements, models (whether registered or unregistered), innovations, inventions, integrated circuits, know-how, logos, manufacturing data, topography of integrated circuits, methods, moral rights, machine language, original literary works, patents, patent applications, patent rights, without limiting the generality of the foregoing including all continuations, divisions, reissues, re-examinations or extensions, plans, processes, technology in which there is a proprietary right, trade name, research results, research records.
Products – All processes, formulas, improvements, modifications, models, prototypes, drawings, plans, specifications, or any other material, document, or product that constitutes part of the original content of the tender/agreement, except for that included in the definition of “Products Beyond Original Content” as defined hereinafter, or based on the original content of the agreement, which is created by either party, alone or jointly with others, within the framework of this agreement until the signing of this agreement by the parties.
To purchase our services, you may make a payment using the available payment methods. We may direct you to the websites of our trusted payment service providers. You may be required to share your personal information (such as your name, address, identification number), financial information2 (e.g., your credit card number, bank account details, etc.), and any other information with the payment service providers. You agree that all information you provide in connection with this purchase will be accurate, complete, and current. You agree to pay all charges incurred by users of your credit card, debit card, or other3 payment mechanism at the prices in effect when such charges are incurred. You4 will also pay any applicable taxes relating to your purchases.
The “Groupix” company develops tools for community administrators and generates business opportunities, based on a high standard system and a belief in the highest quality and sophistication of the software. However, individual preferences vary and are not our responsibility. In the event that your software is defective or faulty, we will replace the product with the same software.
Returns and Cancellation Policy
Subject to applicable law, a refund may be provided if the service is not delivered. In such cases, you must contact us via email at Assaf@groupix.io within fifteen (15) days of the purchase and provide full details to the technical representatives. No refunds will be issued for charges older than fifteen (15) days from the date of purchase. We reserve the right to refuse a refund request if we believe the user is attempting to obtain a refund fraudulently.
Furthermore, a transaction will be canceled if it does not comply with the law (including but not limited to consumer protection laws). If it concerns the right of withdrawal applicable to consumer transactions, which differs from other rights established in consumer protection laws, such as: the right to withdraw from a continuous transaction, the right to cancel a transaction due to deception or exploitation of distress, the right to cancel a distance sale transaction or a transaction in door-to-door sales.
Software Requirements
Our products require a computer with standard specifications. Additionally, if there is a need for adjustments, the Company will provide technical assistance, as long as the computer meets the software requirements.
Privacy Policy
“Groupix” considers your privacy to be one of our most significant concerns. This Privacy Notice describes our current policies regarding how we use information about our customers. If any of our current policies change, you will be sent a revised Privacy Notice in advance, thereby providing you with sufficient notice to respond before the effective date of the change.
In order to provide you with personalized service, Groupix collects information about you from the forms you submit to us or through our website. We use this information to contact you (if necessary), track the status of your requests with the companies we work with, process your requests, and provide you with additional information about products and services.
We do not disclose any non-public personal information about our customers5 to companies, organizations, or independent individuals, except to promote our business relationships with others, including recommendations, personal experiences, or if compelled to do so by due legal process.
We restrict access to non-public personal information about you to those employees who need to know the information to provide6 you with products or services. We maintain physical and procedural safeguards that comply with applicable U.S. standards and law to protect your personal information.
